Jade Crest does not hold or transmit client funds, act as escrow agent, custodian, trustee, or depositary, guarantee transaction outcomes, guarantee the performance, licensing, solvency, compliance, or advice of any third party, provide legal, tax, investment, accounting, or financial advice, or assume responsibility for inspections, title, liens, encumbrances, sanctions clearance, source-of-funds verification, export/import compliance, registration, maintenance condition, or any other matter requiring licensed or regulated professional review, unless expressly agreed in writing and legally permitted.
Use of the Site, submitting an inquiry, receiving information, or communicating with Jade Crest does not, by itself, create a client, agency, fiduciary, brokerage, partnership, or joint venture relationship, nor any duty to advise, monitor, warn, negotiate, or act on your behalf. Any such relationship exists only to the extent expressly stated in a separate written agreement signed by Jade Crest. References to discretion, coordination, alignment, or client-centered service describe our operating philosophy and do not expand duties beyond those expressly assumed in writing and permitted by law.
Any attorney, broker, lender, title company, escrow provider, accountant, tax advisor, aviation consultant, inspector, operator, insurer, dealer, seller representative, or other third party introduced or referenced by Jade Crest is an independent party. Jade Crest is not responsible for their acts, omissions, advice, opinions, pricing, disclosures, licensing, regulatory status, performance, the accuracy or completeness of information they provide, or any engagement terms you enter into with them. You are solely responsible for conducting your own diligence and entering into separate agreements with such parties as appropriate.
Nothing on the Site constitutes an offer to sell, a solicitation to buy, a guarantee of availability, a commitment to source or secure any asset, property, aircraft, service, or transaction structure, or a promise that any opportunity, pricing, timeline, or transaction outcome can or will be achieved. All opportunities, introductions, and transaction pathways are subject to availability, diligence, legal constraints, commercial agreement, and changing market conditions.
Jade Crest values discretion and uses reasonable measures to handle inquiries carefully. However, communications through the Site or ordinary email may not be secure, unsolicited information is not automatically subject to privilege or a non-disclosure obligation, you should not send highly sensitive information through the Site unless specifically requested, and any formal confidentiality obligations must be set out in a separate written agreement.
All Site content, including text, structure, design, graphics, branding, logos, compilations, and other materials, is owned by or licensed to Jade Crest and protected by applicable law. You may view the Site for personal or internal business informational purposes only. You may not reproduce, republish, distribute, display, modify, create derivative works from, sell, license, or exploit any part of the Site without our prior written consent.
If you submit feedback, suggestions, concepts, or other non-confidential materials to us, you grant Jade Crest a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, and incorporate such materials for any lawful purpose, without compensation to you, subject to our Privacy Policy.
We may update, modify, suspend, or discontinue any part of the Site at any time without notice. We do not warrant the Site will be uninterrupted, secure, error-free, complete, accurate, or current, that defects will be corrected, or that the Site or servers are free of viruses or harmful components.
To the fullest extent permitted by law, the Site and all content are provided “as is,” “as available,” and without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.
To the fullest extent permitted by law, Jade Crest Private Advisory and its owners, managers, officers, employees, contractors, affiliates, representatives, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, revenue, opportunity, goodwill, data, or anticipated savings, arising out of or related to your use of the Site, reliance on Site content, communications with us, third-party acts or omissions, or any transaction related to information obtained through the Site. To the fullest extent permitted by law, Jade Crest Private Advisory’s total aggregate liability arising out of or relating to the Site or these Terms shall not exceed the greater of US$100 or the amount, if any, you paid solely for access to the Site in the 12 months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Jade Crest Private Advisory and its owners, managers, officers, employees, contractors, affiliates, representatives, licensors, and service providers from and against any claims, demands, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your breach of these Terms, your violation of law or regulation, your infringement of third-party rights, or information you submit through the Site.
You may not use the Site or our services in connection with unlawful conduct, sanctions evasion, money laundering, fraud, corruption, bribery, false documentation, or any activity intended to conceal identity, beneficial ownership, source of funds, or regulatory exposure. We reserve the right to decline inquiries, suspend communications, or refuse engagement where we identify legal, compliance, ethical, reputational, or risk concerns.
Your use of the Site is also subject to our Privacy Policy and Cookie Policy, each incorporated into these Terms by reference.
We may revise these Terms at any time. Revised Terms become effective upon posting, and your continued use of the Site constitutes acceptance.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where mandatory law requires otherwise.
Any dispute arising out of or relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction and venue of those courts.
Our failure to enforce any provision of these Terms is not a waiver of that provision. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect to the fullest extent permitted by law.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Jade Crest Private Advisory regarding Site use and supersede prior or contemporaneous understandings relating to the Site.
